There was a time when formalizing a business in Zambia meant waking up at 05:00 AM to stand in a suffocatingly long queue in Longacres, clutching a folder full of physical papers. If you made a single mistake on a form, you’d be sent back home to start all over again.
Thankfully, those days are long gone.
Today, the Patents and Companies Registration Agency (PACRA) operates almost entirely online. If you want to move from an informal hustle to a legitimate, tender-winning enterprise, you can do it right from your laptop. This guide breaks down exactly how to register a company with PACRA online without pulling your hair out.
What You Need Before You Start
Before you click a single button on the portal, make sure you have the following ready to go:
- An active internet connection and a laptop or desktop computer (don’t try this on a smartphone—the portal layout is complex).
- Scanned, clear digital copies of the NRCs (for Zambian citizens) or Passports (for foreign directors).
- An active digital payment method with sufficient funds (Mobile Money via MTN/Airtel/Zamtel, or a Visa/Mastercard debit card).
- A minimum of two proposed unique business names.
Step 1: Name Clearance and Reservation
Your company name cannot be identical or deceptively similar to an existing business in Zambia. PACRA will reject it if it is.
- Log into the official PACRA online portal (
portal.pacra.org.zm). If you don’t have an account, click “Sign Up” and create your credentials using your NRC details. - Navigate to Companies Form 1 (Application for Name Clearance).
- Type in your desired name and submit. This costs K120.00 per attempt.
- Once approved, immediately file Companies Form 2 (Application for Reservation of Name). This costs K213.33 and locks the name down so no one else can steal it while you prep your remaining paperwork.

Step 2: Fill Out Your Incorporation Details
Once your name is officially reserved, you have a 30-day window to complete your registration. Click on your approved name in the portal to start filling out the digital forms.
To successfully register a company with PACRA online, you will need to input four key pieces of data:
1. Share Capital
For a standard small or medium enterprise (SME) in Zambia, you will typically register with a minimum nominal share capital. Keeping your share capital at the base tier ensures your initial incorporation fee stays low.
2. Directors & Shareholders
A Limited Liability Company (LLC) in Zambia requires a minimum of two directors. You will need to input their full legal names, physical residential addresses, TPIN numbers (if they already have them), and upload their scanned NRCs.
3. Company Secretary
Zambian company law requires you to designate a Company Secretary. For small businesses, this can be one of the directors, a trusted individual, or a corporate secretarial firm.
4. Articles of Association
These are the legal rules by which your company will operate. PACRA provides a “Standard Articles of Association” template directly in the portal. Unless you have complex investor agreements or venture capital requirements, choose the standard articles. It saves time, legal fees, and keeps the online process smooth.
Step 3: Digital Payment and Checkout
Review your summary page thoroughly. Double-check that there are no typos in the NRC numbers, names, or addresses. A mistake here can take weeks to rectify later through manual amendment applications.
Once you verify everything is correct, hit the checkout button. The system will calculate your final incorporation fee (usually between K1,100 to K1,500 for standard minimum share capital). Pay using your preferred Mobile Money wallet or debit card.
Step 4: Downloading Your Certificates
After your payment is processed, your application moves to a PACRA registrar for review. If everything is compliant, your status will change from “Pending” to “Approved” within 3 to 7 working days.
You will then be able to download your official legal documents directly from your portal dashboard:
- Certificate of Incorporation (Form 3)
- Certificate of Share Capital (Form 15)
- List of Directors (Form 14)
